Definition of company
The Company Law of China defines the company. The definition of "company" should be fully understood in conjunction with Articles 2 and 3 of the Act.
Article 2 of the Company Law stipulates that "A company referred to in this Law refers to a limited liability company and a limited company established within the territory of China in accordance with this Law." Article 3 stipulates that a company is an enterprise as a legal person, has independent legal person property and enjoys legal person property rights. The company is liable for its debts with all its property. The shareholders of a limited liability company shall be liable to the company within the limit of their subscribed capital contributions; the shareholders of a joint stock limited company shall be liable to the company within the limit of their subscribed shares."
